Terms & Conditions– Version 1.0 dated 30th Aug 2021

This page (together with the documents referred to on it) tells you (“you” means the individual reading these terms and conditions) the terms and conditions on which we (“we”, “us”, “our” and “iso20400plus” means the iso20400plus Ltd) may offer chance to carry out paid service. This document is to be read in conjunction with our General Terms & Conditions of Business and Website Use (“Legal Notice”). If there is any inconsistency between any of the provisions of this agreement and our other Terms & Conditions, the provisions of these terms and conditions shall prevail.

Please read these terms and conditions carefully before applying to become an Individual SPSC ambassador -Champion or Fellow or Associate. You should understand that by applying to become an Individual SPSC Ambassador – Champion or Fellow or Associate, you agree to be bound by these terms and conditions. We reserve the right to vary the ambassadorship terms and conditions, in the future, as our business evolve. The terms and conditions that will apply to our relationship will be in accordance with the latest version of this document. Please note that our relationship will not be one of employer-employee, and that this is not a contract of employment.

SPSC Ambassadorship Subscriptions

For 2021 and 2022, there are no subscription fees. Whilst we hope to keep this free forever, this should not be interpreted as our commitment. We hope that you understand that it is very difficult to predict and commit to future scenarios that are uncertain, complex, dynamic and volatile. 

Ambassadorship Applications

In the ambassadorship form, please do not disclose any information, which you have not made public on social media like Facebook, LinkedIn, Twitter, Instagram, YouTube, Tumblr, WhatsApp, Vimeo, TikTok, Pinterest, Snapchat, etc. We do not wish to know or record anything which is personal and/or private.

When joining as an ambassador – champion or fellow or associate, a contract is made between you and iso20400plus when your ambassadorship registration has been completed and the ambassadorship number has been generated and provided to you.

Ambassadorship Renewals

SPSC ambassadorship subscriptions are for each calendar year.

Applicability of this Terms & Conditions

These terms and conditions are only applicable to following three types of individual SPSC ambassadorship:

  1. Champion
  2. Fellow
  3. Associate

Data Protection

Please only disclose/provide data/information which is publicly available on social media sites Facebook, LinkedIn, Twitter, Instagram, YouTube, Tumblr, WhatsApp, Vimeo, TikTok, Pinterest, Snapchat, etc. We do not wish to collect anything which is private or personal, so please do not provide/mention it to us.

Principles

  1. SPSC ambassador & iso20400plus should not gain financially (directly or in-kind) for any suggested courses.
  2. SPSC ambassador & iso20400plus should not gain financially (directly or in-kind) for any guidance to champion, fellow, associate, affiliate or student.
  3. SPSC ambassador should not suggest any paid courses on behalf of SPSC and/or iso20400plus.

Ambassadorship Expectations

  1. SPSC ambassadorship means you are against discrimination.
  2. SPSC ambassadorship means you are against bribery.
  3. SPSC ambassadorship means you are against corruption.
  4. SPSC ambassadorship means you believe in diversity and inclusion.
  5. SPSC ambassadorship means you support data protection laws.
  6. SPSC ambassadorship means you maintain ethical conduct in your personal and professional life.
  7. SPSC ambassadorship means you commit to compliance with local rules and regulations, where you live & work.
  8. SPSC ambassadorship means you commit to national legislations, where you live & work.
  9. SPSC ambassadorship means you commit to United Nations principles.
  10. SPSC ambassadorship means you commit to International Labour Organisation principles.
  11. SPSC Ambassadorship DOES NOT permit anyone to do following on behalf of SPSC and/or iso20400plus:
    1. Financial Transactions
    2. Financial Gains
    3. Receive/make payment-in-kind

Ambassadorship Termination

iso20400plus has a right to suspend or terminate ambassadorship if ambassadorship expectations are not met. iso20400plus shall have the option to select, decline, suspend or terminate any Ambassador with immediate effect, which shall not be unreasonably exercised. 

Ambassadorship Cancellation

Ambassador has a right to cancel their ambassadorship without any notice period.

Performance of any service by individual SPSC ambassador (Champions – Fellows – Associates)

Ambassador’s service is voluntary, however if we have mutually agreed then we wish ambassador to follow following points:

  1. Ambassador shall diligently perform all agreed services in a safe, skillful and professional manner throughout the term of association.
  2. Ambassador agrees that it shall comply with all instructions throughout the term of association.
  3. iso20400plus shall have the option to select, decline, suspend or terminate any Ambassador, which shall not be unreasonably exercised.
  4. Ambassador should have the necessary training, skills, experience, qualification to led, experienced, to perform sustainability services.
  5. Ambassador agrees that all personnel shall be subject to and shall agree to be bound by iso20400plus and/or Customer’s policies regarding safety, security, environment, social, ethical and drug & alcohol testing.
  6. Unless otherwise specified in the Purchase Order, Champion/Fellow/Associate shall, at its own expense, sufficiently furnish all equipment, machines, material and supplies necessary for the efficient and continuous performance of its obligations.
  7. Champion/Fellow/Associate shall, at its own expense, furnish all personal protective equipment (“PPE”) for the performance of its obligations at the Site.

Confidentiality

  1. All data, information, documents, calculations, reports, systems, notes, sketches or material provided to, obtained or acquired by any Ambassador shall be held confidential and shall not be shared with or divulged to any other person except by express written permission of iso20400plus.
  2. All Confidential Information developed by Ambassador as a result of the performance of the Services or supply of Goods shall be the property of iso20400plus. Iso20400plus shall have the unrestricted right to use and disclose such information in any manner and for any purpose without payment of further compensation. Such Confidential Information is proprietary information of iso20400plus.
  3. No Ambassador shall create and publish or is permitted to create & publish any information, photographs or videos of, about or related to iso20400plus, any company associated with iso20400plus or any of their respective assets.
  4. Ambassadors are free to share information, photographs and videos created by iso20400plus which are in public domain or on iso20400plus website.

Indemnity

Ambassador shall at all times be responsible for, shall release and shall defend, protect, indemnify and hold harmless iso20400plus from and against any and all claims in respect of:

  1. personal injury to or sickness, illness or disease or death of any person who is an Ambassador; and/or
  2. loss of or damage to any property procured, owned, hired or leased by any ambassador; and/or
  3. from pollution or contamination (including without limitation the control and/or removal thereof) which originates from Ambassador Group’s equipment or materials under the control of any Ambassador in connection with any service provided.
  4. iso20400plus shall have the right to retain out of any payment to be made to the Ambassador an amount sufficient to indemnify it completely against any such lien, claim, assessment, fine or levy exercised or made and all associated costs.

Reward-Benefits-Compensation

Individual SPSC ambassadors may be financially rewarded when they engage in a sustainability service where iso20400plus receives payments from their clients/customers. There are following types of paid services, which may be requested. As this is a voluntary association, you are free to disagree.

  1. Sustainability Assessor – The financials and scope of work will be clearly mentioned in the purchase order before the sustainability service starts.
  2. Sustainability Quality Controller – The financials and scope of work will be clearly mentioned in the purchase order before the sustainability service starts.
  3. Sustainability Trainee – The financials and scope of training will be clearly mentioned in the purchase order before the sustainability service starts.

No Guarantee of Reward-Benefits-Compensation

  • SPSC ambassadorship does not guarantee any financial or non-financial reward, benefit and/or compensation.
  • All Individual SPSC Ambassador’s financial reward stops in following cases:
    1. Individual SPSC Ambassador is found guilty of bribery and/or corruption
    2. Individual SPSC Ambassador paid/received financial gain (direct or in-kind) from/to anyone to provide/influence/suggest/advice service of iso20400plus Ltd
  • All individual SPSC Ambassador financial rewards are suspended if Individual SPSC Ambassador has started working as an employee where he/she has sold iso20400plus Ltd service.
    Example –
    If Mr X sold service of iso20400plus Ltd to ABC Ltd, and he/she was not an employee (permanent/contract) when he/she sold service.
    After one year Mr X joined ABC Ltd as an employee, adviser, director, contractor, etc. for 2 years.
    So Mr X will not receive any percentage financial reward for these 2 years.
    After he/she leaves ABC Ltd, the percentage reward restarts, but the 2 year period (while he/she was employed by ABC Ltd) reward will never be paid.
  • SPSC ambassador should not sell any iso20400plus’ services to an organization where he/she is employed. Such transactions can be investigated as a case of bribery/corruption. In such case, iso20400plus will not pay any financial reward (direct or in-kind) to the SPSC ambassador. In such cases, we reserve a right to terminate your SPSC ambassadorship.

Governing Law

These terms and conditions shall be governed by and constructed in accordance with the laws of Scotland and you irrevocably submit to the exclusive jurisdiction of the court of Scotland.

Annexe A - Individual SPSC Ambassador Business Development Reward

Option 1 - Individual SPSC Ambassador sold a paid service product to a new organisational customer on his own

  • Individual SPSC Ambassador choose to retain financial reward and it is not to be given to charity.
  • The percentage financial reward is based on revenue generated from the same customer over a period of time.
  • This financial reward, if
  1. Business stops between iso20400plus Ltd and the customer
  2. Individual SPSC Ambassador die

Example:
The sales transaction is complete, when we receive payment; offer service and customer confirm happy receipt of service.
If Individual SPSC Ambassador (Champion, Fellow or Associate) independently completes sell, to a new customer ABC Ltd, amounting £1,000.
So this SPSC Ambassador gets 25% of £1,000, so £250.
Assume, that the same customer ABC Ltd buys a different service amounting £500 before end of a 1 year period.
So this SPSC Ambassador gets 10% of £500, so £50.
In the 2nd year, the same customer ABC Ltd buys a service amounting £2,000.
So this SPSC Ambassador gets 5% of £2,000, so £100.
In the 3rd year, the same customer ABC Ltd buys a service amounting £3,000.
So this SPSC Ambassador gets 1% of £3,000, so £30.
In the 4th year, the same customer ABC Ltd does not buy any service.
So this SPSC Ambassador gets 1% of £0, so £0.
In the 5th year, the same customer ABC Ltd buys a service amount £5,000.
So this SPSC Ambassador gets 1% of £5,000, so £50.

Option 2 - Individual SPSC Ambassador sold a paid service product to a new organisational customer on his own

  • The SPSC Ambassador chooses to give the financial reward to their chosen charity while joining SPSC ambassadorship. In this case, individual SPSC ambassador is providing pro-bono service without any expectations on financial gains.
  • The percentage financial reward is based on revenue generated from the same customer over a period of time.
  • This financial reward stops, if
  1. Business stops between iso20400plus Ltd and the customer.
  2. The charity is not legal, dissolved, closed or liquidated.

Example:
The sales transaction is complete, when we receive payment; offer service and customer confirm happy receipt of service.
If Individual SPSC Ambassador (Champion, Fellow or Associate) independently completes sell, to a new customer ABC Ltd, amounting £1,000.
So his charity gets 25% of £1,000, so £250. Individual ambassador gets nothing.
Assume, that the same customer ABC Ltd buys a different service amounting £500 before end of a 1 year period.
So his charity gets 10% of £500, so £50. Individual ambassador gets nothing.
In the 2nd year, the same customer ABC Ltd buys a service amounting £2,000.
So his charity gets get 5% of £2,000, so £100. Individual ambassador gets nothing.
In the 3rd year, the same customer ABC Ltd buys a service amounting £3,000.
So his charity gets 1% of £3,000, so £30. Individual ambassador gets nothing.
In the 4th year, the same customer ABC Ltd does not buy any service.
So his charity gets 1% of £0, so £0. Individual ambassador gets nothing.
In the 5th year, the customer ABC Ltd buys a service amount £5,000.
So his charity gets 1% of £5,000, so £50. Individual ambassador gets nothing.

Option 3 - Individual selling a paid service product to a new organizational customer through an organisational SPSC ambassador.

  • Individual SPSC Ambassador choose to retain financial reward and it is not to be given to charity.
  • The percentage financial reward is based on revenue generated from the same customer over a period of time.
  • This financial reward stops, if
  1. Business stops between iso20400plus Ltd and the customer.
  2. Individual SPSC Ambassador die.

Example:
The sales transaction is complete, when we receive payment; offer service and customer confirm happy receipt of service.
If Individual SPSC Ambassador (Champion, Fellow or Associate) completes sell, to a new customer XYZ Ltd through an organisational SPSC ambassador, amounting £1,000.
So this SPSC Ambassador gets 10% of £1,000, so £100.
Assume, that the same customer XYZ Ltd buys a different service amounting £500 before end of 1 year.
So this SPSC Ambassador gets 5% of £500, so £25.
In the 2nd year, the same customer XYZ Ltd buys a service amounting £2,000.
So this SPSC Ambassador gets 1% of £2,000, so £20.
In the 3rd year, the same customer XYZ Ltd buys a service amounting £3,000.
So this SPSC Ambassador gets 1% of £3,000, so £30.
In the 4th year, the same customer XYZ Ltd does not buy any service.
So this SPSC Ambassador gets 1% of £0, so £0.
In the 5th year, the same customer XYZ Ltd buys a service amount £5,000.
So this SPSC Ambassador gets 1% of £5,000, so £50.

Option 4 - Individual selling a paid service product to a new organizational customer through an organisational SPSC ambassador.

  • The SPSC Ambassador chooses to give the financial reward to their chosen charity while joining SPSC ambassadorship. In this case, individual SPSC ambassador is providing pro-bono service without any expectations on financial gains.
  • The percentage financial reward is based on revenue generated from the same customer over a period of time.
  • This financial reward stops, if
  1. Business stops between iso20400plus Ltd and the customer.
  2. The charity is not legal, dissolved, closed or liquidated.

So his charity gets 10% of £1,000, so £100. Individual ambassador gets nothing.
Assume, that the same customer XYZ Ltd buys a different service amounting £500 before end of 1 year.
So his charity gets 5% of £500, so £25. Individual ambassador gets nothing.
In the 2nd year, the same customer XYZ Ltd buys a service amounting £2,000.
So his charity gets get 1% of £2,000, so £20. Individual ambassador gets nothing.
In the 3rd year, the same customer XYZ Ltd buys a service amounting £3,000.
So his charity gets 1% of £3,000, so £30. Individual ambassador gets nothing.
In the 4th year, the same customer XYZ Ltd does not buy any service.
So his charity gets 1% of £0, so £0. Individual ambassador gets nothing.
In the 5th year, the same customer XYZ Ltd buys a service amount £5,000.
So his charity gets 1% of £5,000, so £50. Individual ambassador gets nothing.

Note:
  1. The reward is expected to be paid on calendar monthly basis, and the cost of international money transfer will be deducted from the reward revenue.
  2. If the reward is paid on a quarterly basis then the cost of international money transfer will be paid by iso20400plus Ltd.
  3. All financial reward payment and percentages are calculated from revenue amount excluding government taxes, GST, VAT, duties, customs, subsidies, levies, fees, etc.
